1. About These Terms
These Terms & Conditions govern the relationship between Lirien ("the studio", "we", "us") and any individual or organisation ("you", "the client") who engages our interior design services. By instructing us to proceed with any service, you agree to be bound by these terms.
We may revise these terms from time to time. The version in effect at the time your instruction is confirmed will apply to your engagement.
2. Our Services
Lirien provides non-regulated interior design services, including concept development, spatial planning, material and finish specification, 3D visualisation, and on-site coordination during construction or refit phases. Our work does not constitute architectural practice, structural engineering, or any other licensed professional discipline.
The scope of each engagement is defined in a written service confirmation. Work outside that scope may be subject to additional fees, which will be discussed and agreed before proceeding.
3. Fees and Payment
Fees are as set out in the service confirmation. Unless otherwise agreed in writing:
- A deposit of 50% of the agreed fee is due before work commences.
- The remaining balance is due upon delivery of the final deliverable or, for coordination services, at the end of each calendar month.
- Invoices are payable within 14 days of issue.
- Late payments may delay the continuation of work.
All fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise stated.
4. Revision Rounds
Each service includes a defined number of revision rounds as stated in the service description. Revisions beyond those included may be charged at our standard hourly rate, which will be communicated to you in advance.
A revision round is understood to mean one consolidated set of changes communicated at one time. Sequential or piecemeal revisions may be counted as separate rounds at our reasonable discretion.
5. Client Responsibilities
To allow work to proceed without unnecessary delay, you agree to:
- Provide accurate information about the property, including dimensions, existing conditions, and any constraints.
- Respond to requests for feedback or approval within five working days.
- Inform us promptly of any changes to the project brief or site conditions.
- Ensure we have safe and reasonable access to the site for coordination visits where applicable.
Delays resulting from incomplete or late information provided by the client are not within our control and may affect programme and deliverable timelines.
6. Intellectual Property
All design documents, drawings, 3D renderings, specifications, and related materials produced by Lirien remain the intellectual property of the studio until payment has been received in full.
Upon full payment, we grant you a non-exclusive licence to use the deliverables for the specific project described in the service confirmation. You may not reproduce, distribute, or adapt our work for other purposes without our written consent.
We reserve the right to photograph completed projects and use images for portfolio, press, and marketing purposes, unless you request otherwise in writing before completion.
7. Third-Party Contractors and Suppliers
Where we recommend or facilitate contact with contractors, suppliers, or other third parties, we do so on the basis of our professional experience. We do not act as agent or guarantor for any third party, and we are not responsible for the work, pricing, or conduct of contractors and suppliers engaged independently by the client.
All contracts for construction, supply, or installation are between you and the relevant third party.
8. Limitation of Liability
Our liability to you in connection with any engagement is limited to the total fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental losses, including loss of enjoyment, loss of anticipated savings, or delays caused by third-party contractors.
Nothing in these terms excludes liability that cannot lawfully be excluded under Malaysian law.
9. Termination
Either party may terminate an engagement by giving 14 days' written notice. If you terminate before the work is complete, fees for work carried out up to the date of termination are payable in full. If we terminate due to circumstances beyond our control, we will refund fees for work not yet commenced.
10. Confidentiality
We treat all information you share with us regarding the project, property, and household as confidential. We will not disclose it to third parties except as necessary to carry out the services (for example, sharing specifications with a supplier) or as required by law.
11. Governing Law
These terms are governed by the laws of Malaysia. Any disputes arising from them shall be subject to the jurisdiction of the Malaysian courts.
